Welcome to tree8properties. We own and operate the property platform tree8properties.com. The Platform consists of our website, and any related services, tools, features, or content we provide (collectively, the “Services”).

These Terms and Conditions (“Terms”) constitute a legally binding contract between you and Tree8properties that governs your entire relationship with the Platform.

The Platform is an online marketplace designed to connect property owners, managers, landlords, and sellers (“Hosts,” “Landlords,” or “Sellers” as applicable) who wish to offer short-term residential rentals, long-term leases, or properties for sale (“Listings”) located within the United States with travellers (“Guests”), prospective tenants (“Tenants”), or buyers (“Buyers”) seeking temporary accommodations, long-term housing, or property ownership.

We act solely as a neutral intermediary that facilitates discovery, inquiries, bookings, lease agreements, sales transactions, messaging, payments, and reviews. We are not a real-estate broker, property manager, escrow agent, hotel operator, or party to any rental agreement, lease, or purchase contract. Every transaction (short-term booking, lease agreement, or sale) creates a direct, separate legal contract solely between the listing party (Host, Landlord, or Seller) and the user (Guest, Tenant, or Buyer). Hosts, Landlords, and Sellers are independent third-party providers and are not our employees, agents, or partners.

By accessing or using the Platform in any way—whether as a Guest, Tenant, or Buyer (including users located anywhere outside the United States), as a Host, Landlord, or Seller, as a visitor browsing Listings, or by creating an account—you expressly acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, Community Guidelines, Cancellation Policy (for rentals), and any other policies we publish and incorporate by reference. If you do not agree to any part of these Terms, you must immediately cease all use of the Platform and delete your account.

We may update or modify these Terms at any time in our sole discretion. We will notify you of material changes by

 (i) posting the revised Terms on the Platform with a new “Last Updated” date at the top of this document and,

(ii) where required by applicable law, by sending an email or in-app notification. Your continued use of the Platform after the effective date of any revised Terms constitutes your irrevocable acceptance of the changes. It is your responsibility to check this page periodically for updates.

1. The Platform and Our Role

The Platform enables Hosts and Landlords to create and publish Listings for short-term rentals or long-term leases, and Sellers to create and publish Listings for properties for sale. Guests, Tenants, and Buyers can search, compare, inquire about, book, lease, or purchase those Listings. We provide technology, payment processing facilitation, messaging tools, and customer support, but we do not own, manage, inspect, value, appraise, or control any Listings, properties, or the conduct of Hosts, Landlords, Sellers, Guests, Tenants, or Buyers. We do not guarantee the quality, safety, legality, accuracy of descriptions, market value, or availability of any Listing, nor do we endorse any Host, Landlord, Seller, Guest, Tenant, or Buyer. For property sales, we do not act as an escrow agent or handle title transfers; those are handled directly between the Seller and Buyer or through licensed third-party professionals.

2. Eligibility and Account Registration

  • You must be at least 18 years of age (or the legal age of majority in your jurisdiction of residence, if higher) and fully competent to enter into binding contracts.
  • You may register only one account per individual or legal entity. Corporate or organizational accounts must be registered under the organization’s legal name.
  • All information you provide during registration, verification, or at any other time must be true, accurate, current, and complete. You agree to update your information promptly if it changes.
  • During registration or at any time thereafter, we may require identity verification, background checks, or additional documentation (including government-issued photo ID, passport, proof of funds, or real-estate licensing status where applicable for Sellers).
  • You are solely responsible for all activity that occurs under your account. Keep your login credentials confidential and notify us immediately of any suspected unauthorized use.

We reserve the absolute right to refuse registration, suspend, or permanently terminate any account at any time, with or without notice, for any reason, including suspected fraud, violation of these Terms, violation of law, or to protect the safety and integrity of the Platform and its users

3. Listing Responsibilities (Hosts, Landlords, and Sellers)

If you create any Listing on the Platform (short-term rental, long-term lease, or property for sale), you represent and warrant that:

  • You are the legal owner or have the full legal authority and all necessary licenses, permits, consents, and approvals to offer the property (including local short-term rental registrations, zoning compliance, homeowners’ association approval, transient-occupancy tax permits for rentals, and any real-estate licensing or disclosure requirements for sales).
  • Every Listing you create must be accurate, complete, truthful, and up-to-date in every respect, including photographs, descriptions, amenities, pricing, availability calendar (for rentals/leases), square footage, condition, title status (for sales), house rules, and any restrictions, hazards, liens, or defects.
  • You are solely responsible for the physical condition, safety, cleanliness, legal compliance, and (for sales) accurate disclosure of the property at all times.
  • You must maintain adequate property insurance, liability insurance, and any other coverage required by law or prudent business practice. We do not provide, underwrite, or endorse any insurance.
  • For short-term rentals and long-term leases, you agree to honor every confirmed booking or lease agreement exactly as described in the Listing and to respond promptly to inquiries and special requests.
  • For property sales, you agree to negotiate in good faith, provide all required disclosures under U.S. real-estate law, and cooperate with the Buyer’s due diligence (inspections, appraisals, title searches).
  • You are responsible for complying with all applicable tax laws, including the collection, reporting, and remittance of occupancy taxes, sales taxes, income taxes, capital-gains taxes, or any other taxes arising from transactions facilitated through the Platform.

4. User Responsibilities (Guests, Tenants, and Buyers)

If you interact with any Listing as a Guest, Tenant, or Buyer, you represent and warrant that:

  • All information you provide during inquiry, booking, leasing, or purchase processes is accurate and complete.
  • You will comply with the Listing’s rules, all applicable local, state, and federal laws, and any community or building regulations during any stay, lease term, or purchase process.
  • For rentals or leases, you will treat the property with reasonable care, leave it in the same clean condition as you found it (normal wear and tear excepted), and report any pre-existing damage immediately upon occupancy.
  • You and all members of your party are responsible for any damage, theft, excessive cleaning costs, or other charges imposed by the Host or Landlord.
  • For property purchases, you will act in good faith during due diligence, provide proof of funds or financing as requested, and complete the transaction in accordance with the purchase agreement and applicable real-estate laws.
  • You will not exceed any occupancy limits specified in the Listing and will not host unauthorized parties, events, or gatherings unless explicitly permitted.

5. Transactions, Payments, and Cancellations/Withdrawals

  • A short-term booking, lease agreement, or sales offer is not confirmed until the Host/Landlord/Seller accepts it and you receive a confirmation.
  • All prices, service fees, taxes, cleaning fees, security deposits (for leases), or any additional charges are clearly displayed before you proceed. By confirming a transaction, you authorize us (or our payment processor) to charge the total amount (or deposit) to your selected payment method.
  • We facilitate payments using third-party processors and (for sales) may integrate with licensed escrow or title services where available. We do not store complete payment card information.
  • Hosts and Landlords set their own cancellation or early-termination policies for rentals and leases, which are displayed at the time of booking/lease. Refunds (if any) are processed according to the applicable policy.
  • For property sales, any offer withdrawal, earnest-money deposits, or contingencies are governed by the purchase agreement between Seller and Buyer; we are not responsible for disputes over deposits or closing.
  • You are responsible for paying all applicable taxes, including occupancy taxes, sales taxes, VAT/GST (for international users), transfer taxes, or capital-gains taxes. Hosts, Landlords, and Sellers are responsible for reporting and paying taxes on income or proceeds received through the Platform.

6. Reviews and Ratings

Following completion of a stay, lease term, or sale closing (where applicable), both parties may submit honest, factual, and respectful reviews and ratings. We may filter, moderate, or remove any review that violates our Community Guidelines. You grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, display, modify, and distribute your reviews and ratings for any purpose related to the operation and promotion of the Platform.

7. Prohibited Conduct

You agree not to engage in any of the following (the list is illustrative, not exhaustive):

  • Using the Platform for any unlawful purpose or in violation of any local, state, federal, or international law or regulation (including unlicensed real-estate brokerage or unfair housing practices).
  • Listing or pursuing a property for any purpose other than legitimate short-term rental, long-term lease, or lawful sale.
  • Posting false, misleading, or deceptive Listings, offers, or reviews (including inaccurate pricing, condition, or title status).
  • Harassing, threatening, discriminating against, or harming any other user.
  • Uploading content that infringes third-party intellectual property rights, is obscene, or contains malware.
  • Attempting to circumvent our fees, security measures, or transaction policies.
  • Using any automated software, bots, scrapers, or data-mining tools to access or collect information from the Platform without our prior written consent.
  • Creating multiple accounts or impersonating any person or entity.

 8. Intellectual Property

The Platform and all content, software, logos, designs, and materials are owned by us or our licensors and protected by U.S. and international copyright, trademark, and other intellectual property laws. You are granted a limited, revocable, non-exclusive, non-sublicensable license to use the Platform for its intended purpose only. You may not copy, modify, distribute, or create derivative works without our express written permission. By uploading any content (photos, descriptions, reviews), you grant us a worldwide, perpetual, royalty-free, sublicensable license to use, display, reproduce, and distribute that content in connection with the Platform and our marketing activities.

9. Disclaimers and Limitation of Liability

THE PLATFORM AND ALL SERVICES ARE PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, LEGALITY, MARKET VALUE, TITLE STATUS, OR QUALITY OF ANY LISTING, HOST, LANDLORD, SELLER, GUEST, TENANT, OR BUYER.

WE ARE NOT LIABLE FOR ANY ACT OR OMISSION OF ANY HOST, LANDLORD, SELLER, GUEST, TENANT, BUYER, OR THIRD PARTY, NOR FOR ANY DAMAGE, INJURY, LOSS, TITLE DEFECTS, OR HARM ARISING FROM ANY TRANSACTION OR PROPERTY INTERACTION. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNTS YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR EMOTIONAL DISTRESS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless [Your Company Name], its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms or any other policy; (c) your violation of any law or third-party rights; or (d) any dispute or transaction between you and any other user (Host, Landlord, Seller, Guest, Tenant, or Buyer), including any real-estate transaction, lease dispute, or sale closing issues.

11. Termination and Suspension

We may, at our sole discretion and without prior notice, suspend or permanently terminate your account or access to the Platform for any reason, including violation of these Terms, fraud, safety concerns, or inactivity. Upon termination, you must immediately cease all use of the Platform. Provisions that by their nature survive termination (including Sections 8, 9, 10, 12, and 13) shall continue in full force and effect.

 12. Dispute Resolution and Governing Law

These Terms are governed exclusively by the laws of the State of [Your State, e.g., Delaware or California], United States, without regard to conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through final and binding arbitration administered by the American Arbitration Association in [Your City], under its Commercial Arbitration Rules. You waive any right to participate in a class action, class arbitration, or representative proceeding. Small claims actions may be brought in the appropriate court located in [Your County], [Your State]. For international users, you expressly consent to the jurisdiction of U.S. courts and arbitration for any dispute related to the Platform or any U.S. transaction.

12. International Users

The Platform is based in and primarily operated for users in the United States. However, Guests, Tenants, and Buyers located outside the United States may access the Platform to browse Listings and enter into short-term rentals, long-term leases, or property purchases in the U.S. If you access the Platform or engage in any transaction from outside the United States, you expressly agree to the following:

  • Governing Law and Jurisdiction: These Terms (including Section 12) are governed exclusively by the laws of the State of [Your State] and the United States. You irrevocably consent to the jurisdiction of U.S. courts and binding arbitration in the United States for any dispute arising from your use of the Platform or any transaction.
  • Compliance with Local Laws: You are solely responsible for complying with all applicable laws, regulations, and requirements of your country or territory of residence, including restrictions on real-estate transactions, data privacy rules, currency exchange controls, payment regulations, and tax obligations. We are not responsible for any violations of your local laws.
  • Travel, Entry, or Residency Requirements (for rentals/leases): You are solely responsible for obtaining and maintaining all necessary travel documents, visas, permits, or authorizations required to enter or remain in the U.S. We make no representations or warranties regarding your eligibility and bear no liability for any denial of entry, deportation, or related issues.
  • Payments and Currency: All prices are displayed and charged in U.S. dollars (USD) unless otherwise indicated. You are responsible for any currency conversion fees, foreign transaction fees, or taxes imposed by your bank, card issuer, or local authorities.
  • Data Transfers: Your personal information is transferred to and processed in the United States in accordance with our Privacy Policy (including the International Data Transfers section). By using the Platform, you consent to such transfers and acknowledge that U.S. data protection standards may differ from those in your jurisdiction.
  • Availability and Restrictions: We reserve the right to restrict or limit access to the Platform (or certain features, including sales or leasing) for users in specific countries due to legal, regulatory, or sanctions requirements.

Your continued use of the Platform from outside the U.S. confirms your acceptance of these additional obligations.

 14. Miscellaneous

  • These Terms, together with our Privacy Policy and any other incorporated policies, constitute the entire agreement between you and us and supersede all prior understandings.
  • If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
  • We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • No agency, partnership, joint venture, or employment relationship is created by these Terms.
